These Terms of Service (“Terms” or “Agreement”) constitute a binding contract between you and Fundreef LLC (Registered office: 1209 Mountain Road Pl Ne Ste H, New Mexico, Albuquerque, United States, 87110 – “Fundreef”, “we”, “our”, “us”) governing your access to and use of the Fundreef platform, website (www.fundreef.com), API, and related services (collectively, the “Services”).
BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
For the purposes of this Agreement, “Subscriber” means either (A) the entity that entered into an Order Form, Subscription Agreement, or other agreement with Fundreef, or (B) you, if you are using the Services individually.
1. Our Services
1.1 Platform Description
Fundreef provides a business-to-business (B2B) SaaS platform that includes:
- Investor Intelligence Database: Comprehensive data on investors, funds, and investment activity aggregated from public sources, licensed databases, and user contributions
- CRM Functionality: Tools to manage fundraising pipelines, track investor interactions, and organize outreach
- AI-Powered Tools: Automated investor matching, insights generation, and predictive analytics
- API Access: Programmatic access to Fundreef data (subject to separate API Agreement)
1.2 Service Modifications
We reserve the right to modify, update, suspend, or discontinue any part of the Services at any time. We will provide reasonable notice for material changes that adversely affect your use.
1.3 Trial and Free Access
- Trial access may be limited in scope, features, or duration
- We may change or terminate trial offerings at our discretion
- Trial accounts may be converted to paid subscriptions as specified during registration
2. User Accounts & Access
2.1 Registration Requirements
To access the Services, you must:
- Provide accurate, current, and complete registration information
- Use a valid corporate email address (free email domains may be restricted)
- Be at least 18 years old or the age of majority in your jurisdiction
- Have the authority to bind your organization to these Terms
2.2 Account Security
- Login credentials are personal and non-transferable
- You must not share your account, password, or API keys
- You are responsible for all activities under your account
- Multi-factor authentication may be required for certain features
2.3 Authorized Users
“Authorized Users” are employees or contractors of the Subscriber who:
- Are designated by the Subscriber to access the Services
- Use unique login credentials
- Access the Services solely for Subscriber’s benefit
- Comply with these Terms
2.4 Reporting Security Issues
Immediately notify us at security@old-fundreef.osheha.com if you suspect:
- Unauthorized account access
- Security vulnerabilities
- Data breaches
3. Permitted Use
3.1 Scope of License
Subject to these Terms and payment of applicable fees, Fundreef grants you a limited, non-exclusive, non-transferable, revocable license to:
- Access and use the Services for your internal business purposes
- View, search, and analyze data within the platform
- Export data within your subscription limits
- Create internal reports and analyses
3.2 Data Export Limits
- Free Accounts: View-only access, no exports
- Paid Accounts: Export limits as specified in your subscription plan
- Unused export credits do not roll over between billing periods
- Database Protection: Exports must not constitute a substantial portion of the Fundreef database
- All exported data remains subject to these Terms and attribution requirements
3.3 Attribution Requirements
When using Fundreef data in presentations or reports, you must include:
“Source: Fundreef (www.fundreef.com)”
3.4 Work Product
You may incorporate Fundreef data into work product provided:
- The data has no independent commercial value
- Work product is not published to more than 100 individuals without our prior written consent
- It complies with all attribution requirements
4. Prohibited Use
You must not:
4.1 Data Restrictions
- Resell or redistribute any Fundreef data or create derivative databases
- Scrape, crawl, or mine data using automated means
- Circumvent rate limits, access controls, or security measures
- Extract substantial portions of the database
- Use data for AI/ML training without explicit permission
4.2 Competitive Activities
- Build or contribute to competing products or services
- Conduct competitive analysis of Fundreef
- Reverse-engineer our algorithms or methodologies
4.3 Unlawful Activities
- Use the Services for illegal, fraudulent, or deceptive purposes
- Violate intellectual property rights
- Transmit malware, viruses, or harmful code
- Interfere with Service operation or other users
4.4 Consumer Purposes
- Use data for consumer credit decisions
- Assess individual employment eligibility
- Make insurance determinations
- Any B2C purposes
4.5 Securities Compliance
- Make unauthorized securities offerings or solicitations
- Violate securities laws or regulations
- Misrepresent investment performance data
5. Subscriber Data & Contributions
5.1 Your Data
“Subscriber Data” means data you upload or input into the Services (excluding Fundreef-provided data).
5.2 Responsibility
You represent and warrant that:
- You have all necessary rights to Subscriber Data
- Subscriber Data complies with applicable laws
- Subscriber Data does not infringe third-party rights
5.3 License to Fundreef
You grant Fundreef a non-exclusive license to process, store, and display Subscriber Data solely to provide the Services to you.
5.4 Data Contributions
If you contribute data to the Fundreef database:
- Contributions must be accurate and lawful
- You grant us a perpetual, worldwide license to include contributions in our database
- Contributions may become visible to other Fundreef users
- Contributions may be verified, modified, or removed at our discretion
- You warrant you have all necessary rights to make contributions
6. Non-Competition
6.1 Competitive Use Prohibited
You agree not to use the Services or any data obtained through Fundreef to:
- Develop, enhance, or operate any product or service that competes with Fundreef
- Create or contribute to any investor database or similar platform
- Benchmark or analyze Fundreef’s data, features, or business model for competitive purposes
6.2 Non-Solicitation
During your use of the Services and for 12 months thereafter, you will not directly or indirectly solicit for employment any Fundreef employees or contractors.
7. API Terms
7.1 Future API Access
API functionality is currently under development and not available. When launched, API access will require a separate agreement and additional fees.
8. Fees & Payment
8.1 Subscription Fees
- Fees are specified in your Order Form or subscription selection
- All amounts are in USD unless otherwise specified
- Fees exclude applicable taxes
8.2 Payment Terms
- Billing: Quarterly or annual in advance
- Due Date: Within 30 days of invoice
- Late Payment: 1.5% monthly interest on overdue amounts
- No Refunds: All payments are final and non-refundable
8.3 No Refund Policy
All fees paid are non-refundable under any circumstances, including but not limited to:
- Subscription cancellation before term end
- Account termination for breach of Terms
- Dissatisfaction with the Services
- Changes in your business requirements
- Unused features or export credits
The only exception is where refunds are required by applicable law that cannot be waived.
8.4 Price Changes
- We may adjust pricing with 45 days’ notice before renewal
- Annual price increases limited to 7% or UK CPI, whichever is higher
8.5 Taxes
You are responsible for all taxes, excluding taxes on our net income.
9. Intellectual Property
9.1 Fundreef Property
All rights in the Services, including:
- Database rights
- Software and algorithms
- Trademarks and branding
- Content and documentation
Remain exclusively with Fundreef and our licensors.
9.2 Feedback
Any suggestions or feedback you provide may be used by Fundreef without obligation to you.
10. Data Accuracy & Disclaimers
10.1 “As-Is” Provision
The Services and data are provided “AS IS” and “AS AVAILABLE” without warranties of any kind.
10.2 No Guarantees
We do not warrant:
- Accuracy or completeness of data
- Uninterrupted or error-free operation
- Fitness for particular purposes
- Investment outcomes or business results
10.3 Your Responsibility
All decisions based on Fundreef data are made at your sole risk and responsibility.
11. AI-Generated Content
11.1 AI Tools
Our AI features may generate content that could be:
- Inaccurate or incomplete
- Based on patterns rather than facts
- Subject to bias or errors
11.2 Verification Required
AI outputs are informational only and must not be treated as verified factual data. You must independently verify all AI-generated insights before relying on them for any business, investment, or strategic decisions.
11. Term & Termination
11.1 Term
- Trial Accounts: As specified during registration
- Paid Subscriptions: Initial term per Order Form, then auto-renews
- Termination Notice: 30 days before renewal
11.2 Termination for Cause
We may immediately suspend or terminate for:
- Breach of these Terms
- Non-payment
- Suspected fraudulent or illegal activity
- Violation of usage limits
11.3 Effect of Termination
Upon termination:
- Access to Services ceases immediately
- You must delete all Fundreef data (except Subscriber Data)
- Accrued fees remain payable
- Sections 5, 8, 9, 12, 13, 14 survive termination
12. Limitation of Liability
12.1 Disclaimer of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUNDREEF SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, or consequential damages
- Lost profits, revenue, or business opportunities
- Data loss or corruption
- Third-party claims
12.2 Liability Cap
Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.
12.3 Exceptions
These limitations do not apply to:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Breaches of terms implied by statute that cannot be excluded
13. Indemnification
You agree to indemnify, defend, and hold harmless Fundreef and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your breach of these Terms
- Your use of the Services
- Violation of applicable laws
- Infringement of third-party rights
- Subscriber Data
14. Securities & Investment Disclaimer
14.1 No Investment Advice
The Services do not constitute:
- Investment advice or recommendations
- Solicitation of securities
- Endorsement of any investment strategy
- Tax, legal, or financial advice
14.2 Professional Consultation
Always consult qualified professionals before making investment decisions.
14.3 Regulatory Compliance
You are solely responsible for compliance with securities laws and regulations in your jurisdiction.
15. Privacy & Data Protection
15.1 Privacy Policy
Our processing of personal data is governed by our Privacy Policy, available at www.fundreef.com/privacy.
15.2 Data Processing
You acknowledge that:
- We process data as described in our Privacy Policy
- You must comply with applicable data protection laws
- Cross-border data transfers may occur
16. General Provisions
16.1 Entire Agreement
These Terms, together with any Order Forms and our Privacy Policy, constitute the entire agreement.
16.2 Amendments
We may update these Terms by posting revised versions. Continued use after updates constitutes acceptance.
16.3 Severability
If any provision is invalid, the remainder of these Terms remains in effect.
16.4 Assignment
- You: Cannot assign without our prior written consent
- Fundreef: May assign to affiliates or successors
16.5 Waiver
No waiver is effective unless in writing and signed by the waiving party.
16.6 Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control.

Notices must be sent to:

- You: Email address associated with your account
17 Governing Law
17.1 These Terms are governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law principles.
17.2 Jurisdiction Any dispute arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Bernalillo County, New Mexico, United States.
17.3 Dispute Resolution
Before initiating legal proceedings, parties agree to attempt good faith resolution through direct negotiation.
